　　一、信披不及时被罚千万

　　4月17日，皇氏集团（维权）公告称，公司与当事人收到中国证监会广西监管局下发的《行政处罚事先告知书》。该公司是于3月31日公告称因涉嫌信息披露违法违规被证监会立案调查。仅仅过去半个月证监会就下发了预处罚，公司的违法违规事实为未及时披露一则补充协议。因此皇氏集团拟被责令改正，给予警告，并处以400万元罚款。包括上市公司时任董事长、董秘在内的四名高管合计拟被罚650万元。合计被罚款1050万。

　　上海沪紫律师事务所刘鹏律师提示公司信息披露不及时，那么即构成虚假陈述中的不正当披露，即信息披露义务人未在适当期限内或者未以法定方式公开披露应当披露的信息。法律法规中规定了上市公司未及时履行信披义务，导致投资者做出错误的投资判断，造成投资损失，可向其提起民事诉讼。

　　二、投资者索赔要求

　　经查明，公司全资子公司与某财富股权投资基金曾于2019年11月11日签订《补充协议》，就差额补足以及远期回购两事项进行补充约定。但上述合同并未在2019年至2022年年度报告中披露，存在重大遗漏。直至2023年11月21日，公司才对《补充协议》主要内容进行披露。

　　在注册制的背景下，信息披露的准确性对于投资者决策和市场公平性至关重要，发生可能对上市公司证券及其衍生品种交易价格产生较大影响的重大事件，投资者尚未得知时，上市公司应当立即披露。

　　基于该公司违法违规事实，现符合于2019年11月13日-2023年11月21日期间买入，并在2023年11月22日之后卖出或仍持有而亏损的即可参与维权。
